DRAFT #1 Bylaws - Atlanta Illini Club

ARTICLE I - NAME
The name of this organization is the Atlanta Illini Club, generally representing members residing within the Greater Atlanta Metropolitan Area. Within this document of Bylaws, “Club” refers to the Atlanta Illini Club.

ARTICLE II - PURPOSE
The Club will be a nonprofit organization and will conduct a minimum of one meeting and at least one non-sports event per year. The purpose of the Club will be:

• To encourage and support the educational, recreational, and athletic purposes of the University of Illinois  Alumni Association (UIAA) and the University of Illinois
• Create and maintain a favorable image of the University of Illinois and the UIAA through Club activities
• To express loyalty to, and promote the welfare of, the University of Illinois
• Promote UIAA membership at Club events and in Club publications
• To cultivate friendship and fellowship among the members of the Club

ARTICLE III - MEMBERSHIP
All graduates and friends of the University of Illinois are eligible for membership in this Club. Members are required to pay either an individual or family membership amount as determined by the Board of Directors of the Atlanta Illini Club.

ARTICLE IV - OFFICERS
The officers of the Club will consist of a President, Vice-President, Secretary, and Treasurer.  Officers will be elected by a majority vote of members attending the Annual meeting. Officers serve a term of one year and can be re-elected by the membership to 2 subsequent terms. Terms for officers will run from July 1 to June 30 each year.

Each officer is strongly encouraged to hold a membership in the UIAA and must provide a signed confidentiality form to the UIAA. No officer or member of the Club may receive any personal profit from the operation or activity of the Club.


ARTICLE V. - DUTIES OF OFFICERS
President
- The President will preside at all meetings of the Club, serve as Chairperson of the Board of Directors, participate or designate an officer to participate as an ex-officio member of every committee and serve as the Club's main liaison with the UIAA.

The President serves as the public point of contact for the Club, makes sure the Club Annual Report is submitted to the UIAA, takes general responsibility for Club projects and activities and may delegates specific duties to officers and committee chairs. The President must be an alumnus, executes the goals and mission of overall club’s program, organizes meetings (time, location and agenda) and will attend the UIAA club leadership conference.

Vice-President - In the absence or disability of the President, or at the request of the President, the Vice-President will perform the duties of the President. If the office of the President becomes vacant, the Vice-President will act as President until the Board of Directors select a new President.  

The Vice-President will assist the President in carrying out his/her responsibilities and will work closely with all committees as needed. The Vice-President will ensure that all committees report their activities to the Board of Directors. The Vice-President must be an alumnus and will assist all officers at Club functions in order to become familiar with and promote Club operations.

Secretary - The Secretary will send out notices of Club and Board meetings, maintain and distribute the minutes of all Club and Board of Director’s meetings; direct Club communications, maintain and provide all officers access to the official membership roster, notify the UIAA of any address changes and prepare and submit the Club Annual Report (July 1 to June 30) to the UIAA by August 31.

Treasurer - The Treasurer will prepare and monitor the annual budget, keep the Club's financial records, maintain Club funds, pay Club bills and prepare the financial section of the Club Annual Report to the UIAA.

ARTICLE VI - BOARD OF DIRECTORS
The Board of Directors will consist of the officers and 2-4 additional members who are elected at the Annual Meeting for a one year term.

The Board of Directors will:

• Provide new ideas for Club operations and programs
• Create a strategic plan for the Club
• Approve the Club's annual budget and establish annual dues
• Select alumni to fill any unexpired terms of office when vacancies occur
• Accept specific responsibilities for chairing committees, coordinating programs and assisting with program details
• Help recruit new club members and volunteers

The Board of Directors will meet at least once a year. Such meetings are to be held at such time and place as determined by the Board of Directors. A meeting of the Board of Directors may be called either by the President or by three (3) members of the Board upon written request to the President.

Each member of the Board of Directors is strongly encouraged to hold a membership in the UIAA and must provide a signed confidentiality form to the UIAA. No director or member of the Club may receive any personal profit from the operation or activity of the Club.

ARTICLE VII - COMMITTEES
The Board of Directors will appoint such committees as may be necessary to carry out the goals and objectives of the Club and to properly administer the affairs of the Club. Committees will report to the Board of Directors and will keep the Board apprised of activities by presenting oral or written reports to the Board. Committees may include, but are not be limited to:

Program Committee - In cooperation with the Club's officers and board, plans the content of the year's meetings and events and is responsible for seeing that event arrangements are made and carried out. This committee may appoint an individual chair for each event.

Communications/Publicity Committee - Publicizes Club events through phone calls, e-mail, Club Web site, local media, and determines how to take best advantage of mailings provided by the UIAA. The head administrator of the Atlanta Illini website will serve on this committee. 

Membership Committee - Develops ways to recruit new members and retain existing members for the Club and for the UIAA, such as contacting recent graduates who are newcomers to the community.

Scholarship/Student Outreach - Determines how the Club can give back to the University through direct support of University organizations and through a Club Scholarship Program.  This committee may help with student recruitment, work with UIAA and Office of Admissions at College Fairs, and reach out to current students from Atlanta area during breaks. 

Young Alumni Committee - This committee will focus on networking or professional type events/information/communication to promote participation of recent grads in the Atlanta Illini Club.

Awards/Recognition Committee - Handles the process of recognizing prominent alumni from the Club area, as well as recognizing Club volunteers for years of service and outstanding leadership.  Works with UIAA to nominate alumni from Atlanta area for higher level UIAA or UI awards or makes recommendations on possible UI/UIAA board or campus committees.

ARTICLE VIII - MEETINGS
The Club will hold at least one general meeting of the membership each year. Meetings will be held as frequently as necessary to carry out the purposes of the Club. The UIAA will be informed about all Club meetings through correspondence or as part of the Annual Report to the UIAA.

ARTICLE IX - FISCAL YEAR
The membership year and fiscal year will coincide, beginning on July 1 and ending on June 30 of the following year.

ARTICLE X - ELECTIONS
The officers and respective directors will be elected each year at the Annual Meeting and will hold office until their successors have been elected and are qualified.

ARTICLE XI - BYLAW ADOPTION
The Bylaws of the Club will be officially adopted by the Club upon approval by a majority vote of the members attending the meeting at which the Bylaws are considered and voted upon.

ARTICLE XII - BYLAW CHANGES
The Board of Directors may propose changes in the Bylaws that will become effective when approved by a majority vote of those members at the general membership meeting during which the changes are considered and voted upon. The membership of the Club will have the power to make, alter, amend, or repeal the Bylaws, provided that such Bylaws will not be inconsistent with or contradicting to the Bylaws of the UIAA.
